1. Terms Applicable to Specific Content and Areas of the Site
2. Use of SharePoint
Your use of SharePoint as an external user is subject to BearingPoint’s license agreement or user agreement with Microsoft (the ‘License’), and your use will at all times be subject to said License, solely for your personal, non-transferable right to access the Sites as an external user.
3. Use of Materials
Subject to any additional, specific or limiting terms or conditions set forth in a SharePoint Site to which you have been granted access, you may download, store, display on your computer, view, and print Materials that BearingPoint has published on the Sites or makes available for download through the Sites subject at all times to any project agreements, preliminary agreements, partner agreements, subcontracts, or other agreement(s) agreed between you and BearingPoint.
4. Reservation of Rights
The Sites and Content provided on or through the Sites are the intellectual property and copyrighted works of BearingPoint or a designated third-party provider. All rights, title and interest not expressly granted with respect to the Sites and Content provided on or through the Sites are reserved. All Content is provided on an “As Is” and “As Available” basis, and BearingPoint reserves the right to terminate the permissions granted to you in Sections 2, 3 and 4 above and your use of the Content at any time.
5. Your Content
You agree that you will only share, post, publish, transmit, or otherwise make available (“Share”) on or through the Sites the Content that you have the right and authority to Share. You agree that you will not Share any Content that: (a) is false or misleading; (b) is defamatory, derogatory, degrading or harassing of another or constitutes a personal attack; (c) invades another's privacy or includes another’s confidential, sensitive or personal information; (d) promotes bigotry, racism, hatred or harm against any group or individual; (e) is obscene or not in good taste; (f) violates or infringes or promotes the violation or infringement of another's rights, including intellectual property rights; (g) you do not have the right and authority to Share and grant the necessary rights and licenses for; (h) violates or promotes the violation of any applicable laws or regulations; (I) contains a solicitation of funds, goods or services, or promotes or advertises goods or services; or (j) contains any viruses, Trojan horses, or other components designed to limit or harm the functionality of a computer.
BearingPoint does not want to receive unauthorized confidential information from you through or in connection with the Sites. Notwithstanding anything that you may note or state in connection with Sharing Content, it shall not be considered confidential information and shall be received and treated by BearingPoint on a non-confidential and unrestricted basis.
6. Authentication, Security, Passwords and Means of Accessing the Site and Content
A. You shall receive access authorization to enable them to access the Sites. As a guest user you shall be obligated to furnish BearingPoint with the necessary information (e.g. email address) upon request. All guest access users shall be sent an invitation to the Site(s) by email, containing a hyperlink by means of which the access authorization process can be activated. The designated guest access user must authenticate himself via a company-owned e-mail account. You hereby confirm that neither you nor your authorized employees or contractors will authenticate through any private Microsoft account. The access data subsequently provided (such as username and password) shall be treated as Confidential Information within the meaning of the confidentiality undertakings hereunder.
B. You agree not to access or use the Sites in any manner that could damage, disable, overburden, or impair any BearingPoint accounts, computer systems or networks. You agree not to attempt to gain unauthorized access to any parts of the Sites or any BearingPoint accounts, computer systems or networks. You agree not to interfere or attempt to interfere with the proper working of the Sites or any BearingPoint accounts, computer systems or networks. You agree not to use any robot, spider, scraper, or other automated means to access the Sites or any BearingPoint accounts, computer systems or networks without BearingPoint's express prior written permission.
Access to and use of password protected or secure areas of the Sites are restricted to authorized users only. You agree not to share your password(s), account information, or access to the Sites. You are responsible for maintaining the confidentiality of password(s) and account information, and you are responsible for all activities that occur under your password(s) or account(s) or as a result of your access to the Sites. You agree to notify BearingPoint immediately of any unauthorized use of your password(s) or account(s).
7. No Unlawful or Prohibited Use
BearingPoint has no obligation to monitor the Sites or screen Content that is Shared on or through the Sites. However, BearingPoint reserves the right to review the Sites and Content and to monitor all use of and activity on the Sites, and to remove or choose not to make available on or through the Sites any Content at its sole discretion.
10. Termination of Use
BearingPoint may, in its sole discretion, at any time discontinue providing or limit access to the Sites, any areas of the Sites or Content provided on or through the Sites. You agree that BearingPoint may, in its sole discretion, at any time, terminate or limit your access to or use of the Sites or any Content. BearingPoint will terminate or limit your access to or use of the Sites if, under appropriate circumstances, you are determined to be a repeat infringer of third-party copyright rights. You agree that BearingPoint shall not be liable to you or any third-party for any termination or limitation of your access to or use of the Sites or any Content.
