BearingPoint Capital recently advised a leading U.S. based Private Equity firm in one of their largest acquisitions to date: a critical-service organization in the payment card industry.
We conducted a technical due diligence (TDD) to identify technical risks and opportunities in the technology landscape, including assessing how AI and Machine Learning can be leveraged to improve efficiency and product delivery. The TDD also enabled M&A underwriting and warranty finalization.
In addition, we assessed the technology carve-out scope, including assessing carve-out costs and risks, as well as stand-alone operational costs (with some cost optimization), and carve-out strategy.
Bearing Point Capital assessed the TSA and the TSA scope. We supported our client in the TSA negotiations with the seller, to mitigate identified carve-out risks and minimized dual running costs and complexities.
